PRIZE: There will be one (1) prize awarded to Winner during Sweepstakes Period. Prize will consist of the following: a trip for Winner and one (1) guest to visit one (1) of up to five (5) destinations TODAY’s Matt Lauer travelled to as part of the “Where In The World is Matt Lauer” TODAY programming event. The Destinations will not be released prior to their announcements on the Program, scheduled to take place during the week of November 7, 2011. Winner will have the option of choosing which one (1) of the five (5) Destinations to visit on the Trip, subject to Sponsors’ sole discretion. The Trip includes:
• round-trip, commercial-coach class air transportation for Winner and Guest from an airport near Winner’s place of residence to an airport in or near chosen Destination (as determined by Sponsors in their sole discretion);
• hotel accommodations (standard room, double occupancy) for up to six (6) night in or near Destination for Winner and Guest (as determined by Sponsors in their sole discretion);
• ground transportation for to and from Destination Airport and Hotel for Winner and Guest; • admission into local interest sights to be selected by Sponsors in their sole discretion and subject to availability;
• a five hundred dollar ($500) stipend for food and other expenses (method of payment to be determined by Sponsors in their sole discretion).
Estimated Retail Value (“ERV”) of Prize is up to twenty thousand US dollars person plus the Tax Mitigation Amount (as defined below) ($26,000). Actual Retail Value (“ARV”) of Prize may vary based on departure city, destination, departure date and time, and fare fluctuations. Any difference between ARV and ERV will not be awarded. All details of Prize will be determined by Sponsors in their sole discretion. Sponsors reserve the right to substitute a similar Prize (or Prize element) of comparable or greater value. Sponsors will provide Winner with a payment in an amount intended to mitigate any potential tax liability (“Tax Mitigation Payment”) as determined by Sponsors in their sole discretion. The aforementioned amount will be based on a standard tax rate which may be higher or lower than the Winner’s actual individual tax rate, as determined by Sponsors in their sole discretion. All taxes and other expenses, costs, or fees associated with the acceptance and/or use of Prize are the sole responsibility of Winner. Sponsors will furnish an Internal Revenue Service Form 1099 to Winner for the ARV of Prize for the tax year in which Prize was awarded. Prize cannot be transferred by Winner or redeemed for cash and is valid only for the items detailed above, with no substitution of Prize by Winner. If Prize is unclaimed within a reasonable time after notification from Sponsors, as determined by Sponsors in their sole discretion, it will be forfeited, and time permitting, an alternate Winner may be selected from the remaining eligible entries at Sponsors’ sole discretion.
The Trip must take place before November 11, 2012 or Prize will be forfeited. The Trip awarded to the Winner must be taken within dates provided by the Sponsors or the Prize will be forfeited. Travel arrangements must be made through Sponsors’ agent, on a carrier of Sponsors’ choice. Certain travel restrictions and black out dates apply. Airline and Hotel reservations are subject to availability. Travel dates are subject to Sponsors’ approval. Sponsors have the right in their sole discretion to substitute ground transportation for air transportation depending on Winner’s place of residence. Gift cards are subject to certain terms and conditions as specified thereon and by issuer. Winner and Guest must travel together on the same itinerary, including the same departure date, destination and return date, and must have valid travel documents (e.g., valid government issued photo ID and/or passport) prior to departure, and failure to do so will result in forfeiture of Prize. Destinations and any travel associated with Trip are subject to change and/or cancellation due to travel advisories. Sponsors will not replace any lost or stolen tickets, travel vouchers or certificates. Once travel commences, no unscheduled stopovers are permitted; if an unscheduled stopover occurs, full fare will be charged from stopover point for the remaining segments, including return, of the trip. Sponsors are not liable for any expenses incurred as a consequence of flight cancellation/delay. Trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. All travel and lodging will be at the risk of Winner and Guest. Winner is solely responsible for all expenses and costs associated with acceptance and/or use of Prize not specifically stated herein as being awarded, including, without limitation any and all taxes and other expenses, costs, or fees associated with the acceptance and/or use of Prize, travel insurance, ground transportation (other than as described above), security and airport fees, taxes, insurance, gasoline, meals, gratuities, and souvenirs. Sponsors, Prize Provider and/or Sweepstakes Entities have no responsibility for alterations to any travel plans caused by airline delays or for any act, omission or event. Sponsors, Prize Provider and/or Sweepstakes Entities shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of Prize and are not responsible or liable for any expenses incurred as a consequence thereof. Winner and Guest specifically release Sponsors, Prize Provider and/or Sweepstakes Entities from any and all claims for loss or damage to baggage or property, or from personal injuries or death, or from loss or delay, arising out of the acts, omissions, or negligence of any independent contractors, such as air carriers, hotels, restaurateurs transportation providers, medical personnel or other providers of services or facilities. Sponsors shall have the right, but not the obligation, to make any deductions and withholdings that Sponsors deem necessary or desirable under applicable federal, state and local tax laws, rules, regulations, codes or ordinances.
