Grand Prize (5 winners): A $5,000 American Express Gift Card and a $5,000 donation on behalf of the winner to the non-profit charity organization of Grand Prize winner’s choice. Approximate Retail Value (“ARV”): $5,000 each.

 For Charities (5) (One (1) donation on behalf of each Grand Prize winner): Sponsor will make a $5,000 donation (in the form of American Express Gift Card) on behalf of Grand Prize winner to a charity of Grand Prize winner’s choice (subject to approval by Sponsor, in its sole discretion). IMPORTANT NOTE: Each Grand Prize winner may only select one (1) charity to receive the donation. ARV: $5,000 each.

 For Charities: The U.S. 5013c non-profit charity organization of each Grand Prize winner’s choice will be subject to verification, due diligence and approval, in Sponsor’s sole discretion before a donation is awarded to such organization. Sponsor reserves the right not to award a donation to any organization, for any reason, including if, in its sole discretion of the Sponsor, the charity is not legitimate, is sanctioned under any applicable federal, state, or local law, is controversial or inappropriate, or has engaged in, or engages in, conduct that may reflect unfavorably on the Promotion or the Sponsor, as determined by Sponsor. If a donation cannot be made to the organization chosen by a winner for any reason, the winner may choose an alternate organization to receive the donation, which must meet the requirements set forth above. If winner does not choose an alternate organization within three (3) calendar days of date of notification or does not have an alternate organization or if such organization is also not eligible to receive the donation for any reason, as determined by Sponsor in its sole discretion, Sponsor will make the donation to a charity of Sponsor’s choice. Each organization selected by each winner and approved by Sponsor will be notified by email, mail or phone on or about 1/9/13. An authorized representative of the organization of each will be required to sign all documents required by Sponsor within seven (7) calendar days of date of notification in order to receive the donation. If such representative cannot be contacted, fails to execute and return the documents required by Sponsor within the required time period, or if donation or notification is returned as undeliverable, such organization will forfeit the donation and the Sponsor will have no further obligation to such organization. Organizations are responsible for all federal, state and local taxes and any other costs, expenses and fees (if any) associated with donation receipt and/or use not specified herein as being provided. By accepting the donation, each organization that is awarded a gift card must agree to the use of its name, location, trademarks, logos, photograph and/or image in any and all media now or hereafter known, worldwide and on the Internet and in perpetuity by Sponsor and their respective designees without compensation (unless prohibited by law) or additional consents from such organization or its authorized representatives or any third party and without prior notice, approval or inspection, and to execute specific consent to use if asked to do so.
