Conditions on Consultation Element of Grand Prize. (i) Consultation has no retail value; (ii) consultation will be scheduled to occur in June or July 2010 with the prize winner being given a choice of available dates and times, but the actual date/time of consultation is subject to Sponsor’s final approval as well as the availability and professional commitments of Ms. London and may be postponed or re-scheduled by Sponsor for any reason in its sole discretion, without liability to prize winner; (iii) should the Sponsor be unable to award the consultation element of the Grand Prize for any reason, Sponsor’s liability to prize winner will be limited to award of the remaining elements of the Grand Prize; (iv) consultation will last no more than thirty (30) minutes, but Sponsor shall have no liability if consultation is shorter than thirty (30) minutes; (v) Sponsor’s representatives will monitor the consultation (it will NOT be private) so as to assure that at all times prize winner presents herself in an appropriate, decorous manner and treats Ms. London courteously, respectfully, and politely; and, should Sponsor determine in its sole discretion that prize winner fails to abide by this requirement, the consultation will be immediately terminated and Sponsor shall have no further liability to prize winner; (vi) if winner does not own a computer or if Sponsor determines in its sole discretion that due to any cause beyond Sponsor’s control (technological complications, errors, malfunctions or failures or other force majeure event as discussed in Rule 5 below) consultation cannot be provided in virtual, on-line format, Sponsor may award the consultation element of the prize by means of a telephone conversation or other mode of communication of Sponsor’s sole choosing; (vii) prize winner understands and agrees that the consultation will be taped/recorded by Sponsor and grants Sponsor an exclusive, irrevocable, perpetual, worldwide, royalty-free, transferable, sublicensable license and right to use, perform, exhibit, reproduce, distribute, and/otherwise exploit the consultation (including the taping/recording of same) in any manner and in any media now known or hereafter devised. Such rights include, without limitation, the right to (a) change, alter, distort, edit, or revise the consultation (including the taping/recording of same) and (b) use, exploit, and make derivative works from the consultation (including the taping/recording of same), be it alone or in conjunction with other works of Sponsor’s sole choosing, in any and all media (now known or hereafter devised). Prize winner further waives any so-called “moral rights” in connection with the consultation (including the taping/recording of same) and acknowledges that she has no right of review or approval of any use of consultation (including the taping/recording of same) by Sponsor. Should Sponsor use consultation (including the taping/recording of same), Sponsor has no obligation to attribute the winner’s participation in the consultation to prize winner; and, if Sponsor elects to attribute the winner’s participation in the consultation to prize winner, Sponsor will determine in its sole discretion, without review or approval by prize winner, the content, duration and context of such attribution. Nothing herein in any way obligates Sponsor to use consultation (including the taping/recording of same). Prize winner further agrees, upon Sponsor’s request and without additional compensation of any kind, to sign and return any additional documents and/or take any other acts deemed necessary by Sponsor in its sole discretion to record, perfect or effect the preceding grant of rights in consultation (including the taping/recording of same). Actual model of web camera depends upon Grand Prize winner’s computer and means of Internet access. If prize winner already owns a web camera or, conversely, if prize winner does not own a computer (with consultation being offered other than via virtual, on-line format as discussed above), prize winner will receive an alternate prize element of Sponsor’s sole choosing with an approximate retail value of $50.
