Grand Prize: (1 winner) Trip for 2 to Las Vegas and dinner at two Las Vegas restaurants designated by Sponsor in its sole discretion. All details of dinners, including menu options shall be determined by Sponsor in its sole discretion. The trip shall include the following elements: either round-trip coach class air transportation for Grand Prize Winner and Guest from a major airport near the Grand Prize Winner’s home to the Las Vegas airport or round-trip ground transportation from Grand Prize Winner’s home for Grand Prize Winner and Guest to Las Vegas (the determination of whether Grand Prize Winner and his/her Guest will travel by air or ground transportation will be made by Sponsor in its sole discretion); two nights hotel accommodations (standard room, double occupancy) at a hotel near Las Vegas; if necessary, as determined solely by Sponsor, round-trip transportation for Grand Prize Winner and Guest between airport and hotel and between hotel and locations where dinners will take place. The Approximate Retail Value (“ARV”) of the Grand Prize is $2,800. Actual retail value may vary depending on mode of transportation, city of departure, dates of travel, and airfare fluctuations, if applicable. Any difference between actual retail value and stated ARV will not be awarded. The ARV of Grand Prize represents Sponsor’s good faith determination of the maximum retail value thereof. For Form 1099 reporting purposes, Grand Prize Winner shall be bound by such good faith determination. Sponsor will furnish an Internal Revenue Service Form 1099 to Grand Prize Winner for the ARV of Grand Prize (as determined by Sponsor after award of Grand Prize) for the tax year in which Grand Prize was won.

All details of Grand Prize will be determined by Sponsor in its sole discretion. If Grand Prize is not utilized by September 1, 2010, it will be forfeited. Sponsor reserves the right to substitute a similar prize (or prize element) of comparable or greater value in its sole discretion. Certain blackout periods and travel restrictions may apply. Travel and hotel arrangements (if applicable) will be determined by Sponsor (and/or Sponsor’s representatives) in its sole discretion. Travel must occur on dates and times designated by Sponsor (and before September 1, 2010) or Grand Prize will be forfeited and Sponsor shall have no further obligation to Grand Prize Winner. Once determined, no change, extension, or substitution of travel dates and/or times is permitted, except by Sponsor in its sole discretion. Grand Prize Winner and Guest must travel together on the same itinerary. Grand Prize consists only of the elements set forth above. No other travel elements (including, without limitation, additional ground transportation, insurance, gasoline, meals, gratuities, and souvenirs) are included in Grand Prize. Reservations are subject to availability. Tickets are non-refundable and are not valid for business-related or group travel. Tickets are valid only for travel on airline chosen by Sponsor in its sole discretion. Tickets will be issued only to Grand Prize Winner and Guest. Tickets are void if sold for cash or other consideration. Grand Prize Winner is responsible for any inspection charges and security charges. Once issued, tickets are non-transferable and may not be reissued once travel has commenced. Open tickets may not be issued and stopovers are not permitted. Travel arrangements must be made through Sponsor. Grand Prize Winner and Guest must have valid travel documents (e.g., valid, government-issued photo identification and/or passport) prior to departure, and failure to do so will result in forfeiture of Grand Prize. Sponsor shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of Grand Prize due to reasons beyond Sponsor’s control, and is not responsible or liable for any expenses incurred as a consequence thereof. Travel may not be combined with any other offer and may not qualify for frequent flyer miles or hotel points. All travel will be at the risk of Grand Prize Winner and Guest. Sponsor will not replace any lost or stolen tickets, vouchers, or certificates. All elements of Grand Prize must be redeemed at the same time. In the event of an act of God or an unforeseen, uncontrollable event, Sponsor reserves the right to reschedule all travel for a later date. If Grand Prize Winner chooses to take the trip with no Guest, the remaining elements of Grand Prize shall be awarded and shall constitute full satisfaction of Sponsor’s Grand Prize obligation to Grand Prize Winner and no additional compensation will be awarded. Guest, if any, may be required to execute and return a release of liability and, except where prohibited, publicity release (collectively, “Guest Documents”), which must be returned with the Promotion Documents (defined below), or Guest Portion of Grand Prize will be forfeited. If Guest is a minor, Grand Prize Winner must be such minor’s parent or legal guardian and must execute and return the Guest Documents on such minor’s behalf. Entrants selected must comply with all terms and conditions of these Official Rules and winning the Grand Prize is contingent upon fulfilling all requirements. Sponsor shall have the right, but not the obligation, to make any deductions and withholdings that Sponsor deems necessary or desirable under applicable federal, state and local tax laws, rules, regulations, codes or ordinances.
