\n\u00a0are provided solely for use in this Contest and may not be used for any other
\n\u00a0purpose.
\n\u00a0\uf0d8 Get together your idea for a DORITOS\u00ae brand commercial to air during the
\n\u00a0broadcast of Super Bowl XLVII. Make it action-packed. Make it funny. Make it
\n\u00a0something you\u2019ve never seen before. It\u2019s up to you. Just make it awesome.
\n\u00a0\uf0d8 Create and submit a 30-second spot featuring DORITOS\u00ae brand tortilla chips.
\n\u00a0\uf0d8 Your Submission should be in commercial form consistent with these Official
\n\u00a0Rules.
\n\u00a0Judging Criteria
\n\u00a0Judging Criteria (\u201cJudging Criteria\u201d) is as follows:
\n\u00a0\uf0d8 Originality and Creativity \u2013 40%
\n\u00a0\uf0d8 Adherence to Creative Assignment \u2013 30%
\n\u00a0\uf0d8 Overall Appeal \u2013 30%
\n\u00a0Technical Requirements
\n\u00a0\uf0d8 Video file must be submitted \u2013 the Video file(s) must be exactly 30 seconds in
\n\u00a0length and must not include copyrighted material other than what is provided by
\n\u00a0Sponsor in the Toolkit.
\n\u00a0\uf0d8 Video file size should be kept at or under 100 MB for quicker upload\/encoding
\n\u00a0time (Finalists may be asked to provide higher resolution files).
\n\u00a0\uf0d8 Video files must be provided in one of the following file formats: .MPEG; .MOV;
\n\u00a0.AVI; or .WMV.<\/p>\n

\u00a0SELECTION OF FINALISTS\/GRAND PRIZE WINNERS: Five (5) finalist
\n\u00a0Submissions (each a \u201cFinalist Submission\u201d) will be selected by a judging process in
\n\u00a0which a qualified panel of judges (\u201cJudges\u201d) will evaluate each eligible Submission
\n\u00a0based on the Judging Criteria set forth above in Rule #3.<\/p>\n

\u00a0The five (5) Finalist Submissions will be posted for Facebook users to
\n\u00a0vote for their favorite at the Facebook Page (http:\/\/www.facebook.com\/DoritosUSA<\/a>)
\n\u00a0starting on or after January 2, 2013 at 12:00:00 pm (noon) CT and ending on or around
\n\u00a0January 28, 2013 at 11:59:59 pm CT (\u201cVoting Period\u201d).<\/p>\n

\u00a0PRIZE DETAILS:
\n\u00a0FIVE (5) FINALIST PRIZES: Each finalist prize (\u201cFinalist Prize\u201d) consists of $25,000
\n\u00a0(awarded in the form of a wire transfer or check, payable to Finalist) and a trip for the
\n\u00a0verified Finalist and one (1) eligible guest (\u201cFinalist\u2019s Guest\u201d) to attend Super Bowl XLVII
\n\u00a0(\u201cGame\u201d) scheduled to occur on February 3, 2013 in New Orleans, Louisiana.
\n\u00a0Trip consists of round-trip coach air transportation for Finalist and Finalist\u2019s Guest from a
\n\u00a0major gateway airport near Finalist\u2019s residence within the U.S.; five (5) nights double occupancy hotel accommodations in New Orleans, Louisiana; two (2) tickets to the
\n\u00a0Game (ticket terms and conditions apply); and ground transportation to\/from
\n\u00a0airport\/hotel. Travel dates: January 30, 2013 \u2013 February 4, 2013.
\n\u00a0Approximate retail value (\u201cARV\u201d) of each Finalist Prize is $31,000.<\/p>\n

\u00a0TWO (2) CONTINGENT GRAND PRIZE BONUSES: The two (2) Grand Prize Winners\u2019
\n\u00a0Submissions will be aired during the Super Bowl XLVII broadcast. Sponsor makes no
\n\u00a0representations or warranties about where\/when Grand Prize Winners\u2019 Submissions will
\n\u00a0air during the broadcast. There is no monetary value associated with the Grand Prize,
\n\u00a0however, in the event that a Grand Prize winner\u2019s commercial is awarded one (1) of the
\n\u00a0top three (3) spots (including ties) according to the USA TODAY Super Bowl Ad Meter
\n\u00a0(the \u201cAd Meter\u201d), that Grand Prize Winner will receive a bonus of $1,000,000 for landing
\n\u00a0in a #1 spot, or $600,000 for landing in a #2 spot, or $400,000 for landing in a #3 spot.
\n\u00a0Each Grand Prize Winner is only eligible for one (1) Grand Prize Contingent Bonus.<\/p>\n

\u00a0The USA TODAY Super Bowl Ad Meter. Created in 1989, USA TODAY\u2019s Ad Meter
\n\u00a0has been regarded as the most influential Super Bowl ad rating in the advertising
\n\u00a0industry. Criteria for the USA TODAY Ad Meter (\u201cAd Meter\u201d) is determined solely by
\n\u00a0USA TODAY, which is not affiliated with this Contest in any way.<\/p>\n

\u00a0THE MAXIMUM TOTAL ARV OF ALL PRIZES IN CONTEST IS: $2,205,000 (includes
\n\u00a0contingent bonus payments of up to $2,000,000 (in the event of a tie for 1st place on the
\n\u00a0USA TODAY Super Bowl Ad Meter by our Grand Prize Winners) and the optional
\n\u00a0Opportunity<\/p>\n

\u00a0ONE (1) GRAND PRIZE OPTIONAL OPPORTUNITY: The one (1) Grand Prize
\n\u00a0Winner whose Submission ranks highest on the Ad Meter (the \u201cAd Meter Winner\u201d) will
\n\u00a0be invitated to join movie director\/producer Michael Bay and\/or his associates (\u201cMichael
\n\u00a0Bay and Associates\u201d) on an unpaid independent contractor basis on the set of the next
\n\u00a0TRANSFORMERS movie (the \u201cMovie\u201d).<\/p>\n

\u00a0In the event that the Ad Meter Winner is asked by Sponsor and\/or Michael Bay and
\n\u00a0Associates to travel as part of the Opportunity, Ad Meter Winner\u2019s reasonable and
\n\u00a0necessary travel expenses will be reimbursed by Sponsor, up to a cap of Twenty Five
\n\u00a0Thousand Dollars ($25,000). Any unused portion of the travel reimbursement budget
\n\u00a0will not be awarded to the Ad Meter Winner. Sponsor will manage the travel expenses
\n\u00a0and may require documentation of any and all expenditures submitted for
\n\u00a0reimbursement. The Opportunity is non-transferable and cannot be sold, transferred,
